Terms of Service
Last updated 2026-09-12. These terms are between Overture ("we") and the merchant who installs the Overture app ("you"). Installing the app means you accept them.
1. The service
Overture is a Shopify app that shows story and quiz popups on your storefront, collects email and SMS sign-ups with recorded consent, mints discount codes in your store, syncs contacts to your email service, and reports the revenue attributed to each popup. We may change or improve features over time; we will not remove a core feature from a paid plan without notice.
2. Fees and trials
Plans are billed monthly through Shopify's billing, at the price shown when you subscribe, after a 14-day free trial. Plans differ by monthly storefront visitors. If you exceed your allowance, the popup keeps running and we ask you to move to a higher plan; we do not switch the app off. Fees are non-refundable except where the law requires otherwise. You can cancel at any time by uninstalling the app; billing stops at the end of the current cycle per Shopify's rules.
3. Your responsibilities
- You are responsible for the marketing you send to the contacts Overture collects, and for complying with the laws that apply to it (for example GDPR, CAN-SPAM, TCPA and CASL). Overture records consent and provides compliant default wording; you are responsible for the wording you publish.
- You are responsible for the discount codes the app creates in your store and for the offers you configure.
- You will not use the app to collect data from minors knowingly, to send unsolicited messages, or in any way that breaches Shopify's terms.
- You are responsible for keeping your Shopify and email-service accounts secure.
4. Your data
You own your store's data and your shoppers' captures. We process them only to provide the service, as described in our Privacy Policy, which forms part of these terms. When you uninstall, your data is deleted as described there.
5. AI-drafted content
The "Draft with AI" feature generates suggested popup copy from your store's public content. It is a draft: you review and publish it, and you are responsible for what appears on your storefront. We do not guarantee the accuracy of generated text.
6. Availability
We aim to keep the service available at all times but do not guarantee uninterrupted operation. The storefront widget is designed so that if our service is unreachable, nothing appears on your store and your shoppers are unaffected.
7. Liability
To the fullest extent permitted by law, Overture is provided "as is". We are not liable for indirect, incidental or consequential losses, including lost profits or lost data. Our total liability for any claim relating to the service is limited to the fees you paid us in the three months before the claim arose.
8. Termination
You may stop using the service at any time by uninstalling the app. We may suspend or terminate access if you breach these terms or if required by Shopify, with notice where practicable.
9. Changes to these terms
We may update these terms. We will note the date at the top and announce material changes inside the app. Continued use after a change means you accept it.
10. Governing law
These terms are governed by the laws of Ontario, Canada, and disputes are subject to the courts there.
